General Terms and Conditions

1. Scope and Contracting Party

These General Terms and Conditions apply to all orders placed through the SIMONS.LAB online store.

SIMONS.LAB is an independently operated business division of Intend Bicycle Components GmbH.

These General Terms and Conditions apply to both consumers and businesses unless otherwise stated below.

A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or profession.

A business is a natural or legal person or a partnership with legal capacity acting in the exercise of its trade, business or profession when entering into the contract.

2. Conclusion of the Contract

The presentation of products and services in our online store does not constitute a legally binding offer to enter into a contract.

By completing the checkout process and clicking the final order button, you submit a binding offer to purchase the goods and/or services contained in your shopping cart.

After submitting your order, you will automatically receive an order receipt confirmation by email. This email merely confirms that we have received your order and does not constitute acceptance of your offer.

We may accept your offer within five business days by sending you a separate order acceptance confirmation by email. For goods, we may alternatively accept your offer by dispatching the ordered goods. For services, we may alternatively accept your offer by commencing the agreed service.

The contract is concluded when you receive our order acceptance confirmation or, where no prior acceptance confirmation is sent, when the goods are dispatched or the agreed service commences.

If we do not accept your offer within the period stated above, you are no longer bound by your order.

Before submitting your order, you can review and correct your entries using the functions provided during checkout.

The essential details of your order are stored by us and will be provided to you by email after your order has been submitted.

3. Prices and Payment

The prices displayed in the online store for the respective destination country at the time of the order apply.

For consumers, the total prices displayed include any statutory VAT applicable to the transaction.

Shipping costs may apply in addition to the product price. The applicable shipping costs are displayed at checkout before the order is submitted. Further information can be found in our Shipping & Delivery Policy.

The available payment methods are displayed at checkout. These include, in particular, Shopify Payments, PayPal and bank transfer.

Where a payment method initially only authorizes the payment amount, the final charge or capture of the payment will generally take place only after the order has been accepted.

For payment by bank transfer, the invoice amount becomes due upon receipt of our order acceptance confirmation. Processing and/or shipment will take place after receipt of payment unless otherwise agreed.

4. Delivery and Shipping

We deliver to the countries listed in our online store and/or our Shipping & Delivery Policy.

The available shipping methods, shipping costs and estimated delivery times are set out in our Shipping & Delivery Policy and displayed at checkout.

For payments by bank transfer, processing begins after receipt of payment.

If an ordered product is unavailable contrary to the availability indicated in our online store, we may reject the order provided that no contract has yet been concluded. In this case, we will inform you without undue delay.

Any existing payment authorization will be cancelled. Any payments already received will be refunded in full.

For deliveries to countries outside the European Union, customs duties, import taxes, clearance fees or other country-specific charges may apply. Unless explicitly stated otherwise at checkout, these charges are not included in our prices or shipping costs and must be paid by the recipient.

5. Factory Installation and Other Services

Where Factory Installation or another service is offered and ordered in connection with a product, the exact scope of the service is specified in the respective product or service description in our online store.

For Factory Installation, the customer must send the relevant suspension fork to the address provided by us. Unless otherwise agreed, the customer is responsible for arranging and paying for shipment of the fork to SIMONS.LAB.

The suspension fork must be packaged appropriately and securely for transport.

The usual processing time for Factory Installation is 2–4 business days after we receive the suspension fork. The applicable return shipping time is additional to this processing time.

Factory Installation is only carried out on suspension forks that are compatible with the ordered product according to the compatibility information provided by us.

If, contrary to expectations, a suspension fork is found to be technically incompatible with the ordered product despite matching the compatibility information provided by us, the suspension fork will be returned to its original condition and shipped back to the customer free of charge. Any payments already made for the affected product and Factory Installation will be refunded in full.

If a different suspension fork or model is sent to us than the one specified with the order, we reserve the right to claim the inspection and processing costs actually incurred as a result in accordance with the applicable statutory provisions.

If inspection of the suspension fork reveals damage, technical modifications or other circumstances that prevent the ordered work from being carried out properly, we will contact the customer before performing any additional work.

Additional work or replacement parts that are not included in the ordered service will only be carried out at additional cost after prior agreement with the customer.

Once the work has been completed, the suspension fork will be returned to the shipping address provided with the order unless otherwise agreed.

6. Customer Installation

Where products are intended for installation by the customer, the installation and safety instructions provided for the respective product must be observed.

Technically demanding work should only be carried out where the necessary knowledge, tools and skills are available.

The statutory provisions apply to damage caused by improper installation or installation that does not comply with the provided installation or safety instructions.

7. Retention of Title

Goods supplied remain our property until payment has been made in full.

8. Right of Withdrawal

Consumers generally have a statutory right of withdrawal for distance contracts.

Details regarding the conditions, time limits and consequences of exercising the right of withdrawal, as well as the model withdrawal form, can be found in our separate Withdrawal Policy.

Businesses do not have a statutory consumer right of withdrawal.

For services that a consumer expressly requests to commence before expiry of the withdrawal period, the provisions set out in our Withdrawal Policy additionally apply.

9. Statutory Rights for Defects and Guarantees

The statutory rights in respect of defects apply.

An additional voluntary guarantee only applies where such a guarantee is expressly stated for the respective product.

Any voluntary guarantee does not affect the customer's statutory rights in respect of defects.

10. Liability

Our liability is governed by the applicable statutory provisions.

11. Applicable Law

The laws of the Federal Republic of Germany apply, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

For consumers, this choice of law applies only insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of the country in which they have their habitual residence.

12. Place of Jurisdiction for Businesses

Where the customer is a merchant, a legal entity under public law or a special fund under public law, Freiburg im Breisgau shall be the place of jurisdiction for disputes arising from the contractual relationship to the extent permitted by law.

13. Contract Language and Language Versions

Contracts may be concluded in German or English.

These General Terms and Conditions are provided in German and English.

In the event of any discrepancy or inconsistency between the German and English versions, the German version shall prevail to the extent permitted by law.
